UNSERE GESCHICHTE

It all started with the relocation of my job from Asia to Europe. After spending four years in Hong Kong, my wife and I decided to start our new life in my home country, Switzerland. With two small children back then, we had a lot of toys, books, clothes, dishes to pack and to have them all shipped to our new home. Having arrived in Zurich, we had a lot of cardboard boxes to unpack. In addition to this, we also had to buy new furniture, which we ordered online from IKEA. They also arrived all in cardboard boxes of various sizes and forms. After having gone through the hassle of moving, and after assembling various pieces of furniture, we ended up with a huge pile of trash: mostly cardboard, Styrofoam and plastics. We wondered how many households had similar experiences after moving or ordering online and having the products conveniently delivered to their doorstep. We all end up with the immense amount of byproduct, THE PACKAGE WASTE. On Sunday that week, sipping on a glass of  red wine in the living room, I played with some Lego pieces which my son had left on the coffee table together with the box they came in. When I looked at the Ninjago-box, I saw that Lego pieces have evolved from being a bunch of standard plastic bricks to lots of tailor-made pieces which are used to assemble a predefined structure. And the way my son plays with Lego has changed from how the older generation used to play. The new generation enjoys assembling the pieces according to the manual and playing with the super real-looking final product, carefully watching that it doesn’t fall apart. Once fallen apart, there seems to be no motivation to re-use the bricks to create something new. We, the old folks, on the other hand, enjoyed the freestyle creation of Minecraft-looking houses and cars with the limited amount of pieces available. When I was nostalgically playing with these Lego bricks, my childhood Lego inspiration ignited. I remembered the excitement I had when I was putting the bricks together to construct the coolest house ever built. But why does my son not dissemble the Lego pieces, let his imagination flow and build up his own dream house? With such variety of different pieces, he should be able to create much cooler-looking buildings. When I looked again at the box, which had a picture of a Chinese temple on it, the answer became suddenly clear to me. There were too many tailor-made pieces made especially for this Lego set. With too many options, people tend to not choose at all, as the pressure and the anxiety over making the wrong choices become overwhelming. Once the Lego is dissembled into single pieces, we end up not reusing them. COMPLEXITY DESTROYS CREATIVITY.  Still glaring at the Lego box and glancing over to the pile of IKEA boxes, which was still lying around, I thought about cardboard boxes in general. Why are we not re-using them? Do we really need to have so many variations in terms of size, robustness and quality? If we had a solution in place, overcoming the issues around required robustness, availability in different sizes and storage, wouldn’t we reuse the boxes? If we could break down a box into small pieces like Lego bricks, wouldn’t it be easy to store them? If such small pieces could be put together into a box of the required size, would people start to re-use the bricks? A box is merely a structure made of 6 plates. These 6 plates usually have different sizes, but by cutting the plates into smaller squares, we end up having only one single kind of square pieces as the greatest common factor. With a set of these identical plates, we could start to build a box of the required size. THE IDEA OF THE BDXPQ-SYSTEM WAS BORN. We don’t want to stop here, creating the bdxpq-boxes in different forms and shapes and selling them to our customers. This shall be just the beginning. We want to build up a community of like-minded people, aiming to join value creation to the benefit of society by sharing and fostering new ideas. We want the bdxpq-system to be used as the basis for new ideas and be used in different forms, such as suitcases, bookshelfs, tables, chairs, backpacks, etc. We want to implement the bdxpq-systems in various innovative ways, such as for Deposit Return Schemes, where goods are distributed using these boxes, which shall be returned to dedicated collection points, such as supermarkets or post offices, getting rid of single-use cardboard boxes. We even want to have the  plates produced by other like-minded companies, having their logo on them. We want to grant you access to our designs and patents, so you can further develop your business. We want to highlight the benefit of reusing products, instead of recycling them. We want you to become a part of this community and want to share our fruit of innovation with you. We want to share all the Lego pieces with you so that we can jointly create new ideas and products.

Partner
(For businesses only)

A Partner provides products or services to retailers, other businesses, or end consumers by using the innovation of the bdxpq-system. A Partner can buy products in bulk at a wholesale price to sell them in smaller quantities to other businesses, or to end consumers. Partners can also produce the products themselves and have them branded as their own for sales , for renting out (e.g. for the Deposit Return Scheme), or for their own use.​ Benefits: - Access to offers for businesses. - Permission to have the bdxpq products manufactured by our Producers - Permission to have the bdxpq products branded as your own - Permission to sell the bdxpq products in your own name - Access to our list of Producers - Membership fee: FREE

Manufacturer
(For factories only)

A Manufacturer obtains the license to use the product design and other intellectual property of bdxpq via a license agreement. Manufacturers make agreements directly with Partners of the Community regarding price, quantity, product features (such as color, material, logo, etc.), delivery and other terms and conditions. Manufacturers can promote their manufacturing services on the Community Members page.​ Benefits: - Permission to produce and sell the bdxpq products to our Partners - Access to our proprietary model and design - Membership fee: FREE

Terms & Conditions

This is the terms and conditions of joining the bdxpq-community ("Community") as; - A Promoter, - A Partner, - A Producer (Multiple selection is possible) Information regarding the Application Form. - Applicants should complete the application form available on the website, www.bdxpq.com, submitted to bdxpq gmbh, Switzerland. - Membership to join the Community is conditional upon confirmation of the application form. - If accepted, the member will have access to the Community page according to their chosen membership type. If you are unable to access the application form or have any difficulties/questions regarding the contents of the application form, please contact us. - We reserve the right to reject an applicant and remove their access to the Community page. - If an application is unsuccessful, bdxpq gmbh, Switzerland and its affiliated companies will retain the applicant’s contact details until further notice. The prospective member will be notified of this decision via email. - The information provided within the application process is to ensure the prospective business/member applying for membership shares the same values as the Community. - Questions within the application may concern howinclude concerning your business relates to the industry the business operates in. This information is necessary to ensure that all businesses/members who join the Community comply with its values. - Examples of businesses that do not comply with the values of the Community network and thus shall not be admitted for membership are companies that derive a significant percentage of their revenues from controversial and/or conventional military weapons as well as any defense- related institutions. 1. Interpretation Definitions: “Application for Membership Form”: means the application for membership form to be completed and submitted to the Community in order to become a Member of the Community. “Contract Term” means a period of twelve months, renewable on a yearly basis until the agreement is terminated by either party in accordance with these terms. “Events" constitutes the in person and virtual events that the Community organises in each Contract Term. “Event Fee” means the fee charged to Members; guests of Members that are attending with a Member and non-members. “Member” means the person or company who is named on the Application for Membership form and for whom, following acceptance by the Community, the Community has agreed to provide services to, in accordance with these terms. “Members Directory” means the page on the Community’s Website that details the name, employer, business contact details, photograph and description of business of each Member. “Membership” means the period of time for which when a Member is contracted to the Community. “Membership Fee” means the payment made by a Member to the Community to cover membership costs for the Contract Term. “Membership Term” means a period of 12 months. “Specified Service” means the service provided by the Community and set out in clause 3 to these Terms and Conditions. “Terms and Conditions” means the terms and conditions of Membership set out below. “Website” means the community’s website https://www.bdxpq.com/ 2. Agreement to these Terms When applying for Membership of the Community, the Member confirms that they have read and agree to be bound by these Terms and Conditions. Upon membership being accepted by the Community the Member will have access to the copy of the Terms and Conditions and they should be retained for future reference. 3. Supply of the Specified Service 3.1 The Community shall at its sole discretion provide the following Specified Service to the Member: (a) free advertisement on the Member’s Directory; (b) a hyperlink to the website of the Member’s employer/company from the website; (c) regular email communication promoting forthcoming Events; (d) opportunity to attend Events; (e) opportunity to meet and establish business relationships with like- minded business owners; (f) opportunity to promote your business and/or employer; (g) opportunity to present to other Members about the services of your business and/or employer; and (h) opportunity to exhibit your business and/or employer at Events. 3.2 The Specified Service is given to the Member subject to these Terms and Conditions. 3.3 The Community shall use its reasonable endeavours to provide the Specified Service within the advertised times. 3.4 The Community may at any time without notifying the Member make any changes to the Specified Service which are necessary to comply with any safety or other statutory requirements and/or which do not materially affect the nature or quality of the Specified Service. 3.5 Any other changes or additions to the Specified Service or to these Terms will be notified to the Member by the Community. 4. Contract Term and Payments 4.1 Membership of the Community is for an initial Contract Term of 12 months and is subject to payment of the Membership Fee monthly. 4.2 Following the expiry of the initial Contract Term and any subsequent Contract Term, the Member must renew their Membership paying the Membership Fee (if any) for the next Contract Term otherwise Membership will beis terminated in accordance with these Terms and Conditions. 4.3 Non-members will be charged the Event Fee plus an additional charge. 4.5 All charges quoted to the Member for the provision of the Specified Service and Events are exclusive of VAT. 5. Warranties and Liability 5.1 The Community warrants to the Member that the Specified Service will be provided using reasonable care and skill as far as reasonably possible. Where the Community uses the service of any agent or third party (such as speakers at events) the Community does not give any warranty, guarantee or indemnity in that respect. 5.2 The Community shall not be liable to the Member by reason of any representation (unless fraudulent or negligent) for any loss of profit or any indirect, special or consequential loss, damage costs, expenses or other claims (whether caused by the negligence of the Community or its agents or otherwise) which arise out of or in connection with the provision of the Specified Service. and Tthe entire liability of the Community under or in connection with the Membership or Specified Service shall not exceed twice the Membership Fee for that Membership Term, except as expressly provided in these Terms and Conditions. This warranty is in lieu of all other terms, conditions and warranties, expressed or implied statutory or otherwise and any other liabilities whatsoever and howsoever arising. 5.3 The Community shall not be liable to the Member or be deemed to be in breach of these Terms and Conditions by reason of any delay in performing, or any failure to perform, any of the Community’s obligations in relation to the Specified Service, if the delay or failure is due to any cause beyond the Community’s reasonable control, and time shall not be of the essence. In respect of an event cancelled by the Community for any reason whatsoever, liability shall be limited to refunding any extra Event Fee. 6. Termination of Membership 6.1 The Member may terminate the Membership by giving written notice to the Community within 30 days of the Contract beginning. The Member will not be refunded the Membership Fee for the Contract Term. 6.2 Either party may at any time terminate the Membership by immediate written notice if the other commits any material breach of these Terms and Conditions or goes into liquidation, becomes bankrupt, makes a voluntary arrangement with its creditors or has a receiver or administrator appointed. 6.3 Upon termination of the Membership for whatever reason all sums owed by the Member to the Community shall become due and payable by the Member with immediate effect. 7. Insolvency of Member 7.1 This clause applies in the following circumstances: 7.1.1 The Member makes a voluntary arrangement with its creditors or (being an individual or firm) becomes bankrupt or (being a company) becomes subject to an administration order or goes into liquidation (otherwise than for the purposes of amalgamation or reconstruction); 7.1.2 An encumbrance takes possession, or a receiver is appointed, of any of the property or assets of the Members; 7.1.3 The Member ceases, or threatens to cease, to carry on business; 7.1.4 The Community reasonably believes that any of the above events is about to happen and notifies the Member accordingly; or 7.2 If this clause applies then, without limiting any other right or remedy available to the Community, the Community may cancel the Contract or suspend Membership, including access to its Website and attendance at Events. 8. General 8.1 Membership allows all Member’s personnel to access certain areas of the Website. If a Member decides to cancel their Membership, access will stop. 8.2 If you enter your details in any enquiry form or contact form you are giving your express permission for your details to be added to our database for contact and marketing purposes. Your details may be provided to a third party, see Clause 8.4 below. 8.3 The Community understands that email marketing is a useful tool; however, Members are politely asked to keep email marketing to other Members to a minimum and to include an ‘opt- out’ facility on every email. The Community reserves the right to suspend the Member’s access to the Website in the event of complaints from other Members, and such complaints would constitute a breach of these Terms and Conditions. 8.4 Members and attendees at an Event acknowledge and accept that the Community reserves the right to publish email contact details of the attendees at each Event. The contact details may be provided to other attendees, the speaker, the venue, nominated charities or other worthy causes (as determined by the Community from time to time). If you would prefer that your contact details are not published, please let us know by contacting us at support@thebetterbusiness.Community 8.5 As a Member of the Community, the Member agrees that all information shared with the Community and/or with bdxpq gmbh may be shared with all other Members, including but not limited to: - Member’s information, such as name, address, e-mail, telephone number, etc.; - Member’s company information, such as services provided, used logo, etc.; - Member’s order/production details, such as produced model, volume, material, etc.: by sharing this information with the Community, it The Community aims to support Members to provide opportunity to promote business and to meet and establish business relationships with like- minded business owners; 8.5 As a Member of the Community, the Member agrees to conduct themselves in a professional and business-like manner, treating other members with respect at all times. If the Community should receive a complaint about any Member’s behaviour, it reserves the right to suspend Membership. Such complaints would constitute a breach of these Terms and Conditions. 8.6 Membership of the Community is at the sole discretion of the Community and it reserves the right to refuse Membership. 8.7 Our website uses cookies to monitor browsing preferences. If you do allow cookies to be used, certain personal information may be stored by us. We will never share your personal details with third parties. 8.8 Waiver. No failure or delay by either party in exercising any of its rights under these Terms and Conditions shall be deemed to be a waiver of that right, and no waiver by either party of any breach of these Terms and Conditions by the other shall be considered as a waiver of any subsequent breach of the same or any other provision. 8.9 Confidentiality. 8.9.1 Each party undertakes that it shall not at any time disclose to any person any confidential information concerning the business, affairs, customers, clients or suppliers of the other party, except as permitted by below. 8.9.2 Each party may disclose the other party’s confidential information: (a) to its employees, officers, representatives, subcontractors or advisers who need to know such information for the purposes of carrying out the party’s obligations under these Terms and Conditions. Each party shall ensure that its employees, officers, representatives, subcontractors or advisers to whom it discloses the other party’s confidential information comply with this clause; and (b) as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority. 8.9.3 Neither party shall use the other party’s confidential information for any purpose other than to perform its obligations under these Terms and Conditions. 8.10 Notices. Any notice to the Community is to be sent by email to info@bdxpq.com. Notices to the Member will be sent to the address on the application form. The provisions of this clause shall not apply to the service of any proceedings or documents in any legal action. 8.11 Severance. If any provision or part-provision of these Terms and Conditions is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part- provision under this clause shall not affect the validity and enforceability of the rest of the Terms and Conditions. 8.12 Entire agreement. These Terms and Conditions constitute the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter. 8.12.1 Each party agrees that it shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this agreement. Each party agrees that it shall have no claim for innocent or negligent misrepresentation based on any statement in these Terms and Conditions. 8.13 Variation. No variation of Membership shall be effective unless it is in writing and signed by the parties (or their authorised representatives). 8.14 Force majeure. Neither party shall be in breach of these Terms and Conditions nor liable for delay in performing, or failure to perform, any of its obligations under these Terms and Conditions if such delay or failure result from events, circumstances or causes beyond its reasonable control. 8.15 Third parties. No one other than a party to these Terms and Conditions shall have any right to enforce any of its terms. 8.16 Governing law. These Terms and Conditions, and any dispute or claim (including non- contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by, and construed in accordance with the law of Zurich, Switzerland. 8.17 Jurisdiction. Each party irrevocably agrees that the courts of Zurich, Switzerland shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms and Conditions or its subject matter or formation.
